1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Zegree Technologies LLP, a limited liability partnership registered in India with its principal place of business in Hyderabad, Telangana ("Zegree", "we", "us", "our").

By accessing or using zegree.com ("the Site") or engaging Zegree for services, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to be bound by them in full. If you are using the Site on behalf of a company or legal entity, you warrant that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, please discontinue use of the Site immediately.

2. Site Content and Accuracy

3.1 A variety of information, project descriptions, service details, blog posts, and other materials ("Content") are made available on our Site ("Supplied Content"). While we strive to keep Content accurate, complete, and up to date, we cannot guarantee and are not responsible for the accuracy, completeness, or timeliness of any Supplied Content.

3.2 You acknowledge that you may also be able to submit information such as feedback, enquiries, and other data through our Site ("User Content"). You are solely responsible for any User Content you submit and for the consequences of doing so.

3.3 We may refuse to store, provide, or maintain your User Content for any reason. We may remove User Content from our Site at any time if it violates these Terms or our Privacy Policy.

3.4 We reserve the right to monitor and remove User Content from our Site at our discretion. You agree to immediately take down any User Content that violates these Terms pursuant to a takedown request from us.

3. Acceptable Use

You agree to use the Site only for lawful purposes. You must not:

• Use the Site in any way that violates applicable local, national, or international law or regulation
• Transmit unsolicited or unauthorised advertising or promotional material (spam)
• Knowingly transmit data containing viruses, trojans, worms, ransomware, or other malicious code
• Attempt to gain unauthorised access to any part of the Site, its servers, or any connected database
• Reproduce, duplicate, copy, or re-sell any part of the Site without our prior written consent
• Harvest or collect email addresses or other contact information from the Site
• Use the Site to defame, harass, threaten, or harm any individual or entity
• Interfere with or disrupt the integrity or performance of the Site

4. Intellectual Property Rights

All Content on the Site — including but not limited to text, graphics, logos, icons, images, and software — is the property of Zegree Technologies LLP or its content suppliers and is protected by applicable intellectual property laws in India and internationally.

You may view, download, and print Content for your own personal, non-commercial use, provided you do not modify it or remove any copyright, trademark, or other proprietary notices. Any other use requires our prior written consent.

By submitting, posting, or uploading User Content on our Site, you grant Zegree a worldwide, non-exclusive, royalty-free licence to use, copy, distribute, modify, reproduce, publish, and display such User Content for the purposes of operating and promoting our services. Our rights under this licence are limited to those purposes. You retain all ownership rights in your User Content.

With respect to client deliverables created under a separate services agreement: upon receipt of full payment, ownership of custom work product transfers to the client as specified in that agreement, subject to Zegree retaining rights to use any pre-existing or independently developed materials incorporated therein.

5. Services and Engagements

Information on this Site is provided for general informational purposes. The availability, scope, and pricing of our services are subject to change without notice. Any engagement for specific services is governed by a separate written services agreement executed between Zegree and the client.

Enquiries submitted through our contact form do not constitute a binding contract, acceptance, or guarantee of service. We reserve the right to accept or decline any project engagement at our sole discretion.

All project timelines, estimates, and pricing shared during pre-engagement discussions are indicative only and subject to formal confirmation in a signed agreement.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during pre-engagement discussions or the course of an active engagement, and not to disclose such information to any third party without prior written consent — except as required by law.

This obligation survives the termination of any services agreement for a period of two (2) years. "Confidential information" does not include information that is publicly available through no fault of the receiving party, or that was independently developed without reference to the disclosing party's information.

7. Payment Terms

Payment terms for services are specified in individual service agreements. General terms:

• Invoices are due within the period stated in the service agreement (typically 14 or 30 days)
• Late payments may incur interest at the rate specified in the agreement or as permitted under applicable law
• We reserve the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes unless stated otherwise

8. Disclaimers

The Site and its Content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be error-free, uninterrupted, or free of viruses or other harmful components. We make no representation that the information on the Site is complete, accurate, reliable, or current.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Zegree Technologies LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with your use of the Site or our services, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption.

Our total aggregate liability to you in respect of any claim arising under or in connection with these Terms or any services agreement shall not exceed the greater of: (a) the amount paid by you to us in the three months immediately preceding the event giving rise to the claim, or (b) INR 10,000 (Indian Rupees Ten Thousand).

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

10. Third-Party Links

The Site may contain links to third-party websites or resources. Such links are provided for convenience only. Zegree has no control over the content of linked sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them. We do not endorse any third-party products, services, or websites referenced on the Site.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.

12. Termination

We reserve the right to terminate or suspend your access to the Site and any services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Site.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will indicate the date of the most recent revision above. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. If the changes are material, we will make reasonable efforts to notify you.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms or any services agreement shall first be subject to good-faith negotiation between the parties for a period of 30 days.

If the dispute cannot be resolved by negotiation, it shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.
